Calderwood Newsletter - Welcome Rich

We are delighted to welcome Richard Goldman to Calderwood as an Independent Director. Rich is a hugely respected US funds lawyer, with a 40-year career. He was a partner for 22 years with Morgan Lewis (including 10 years with Bingham McCutchen before they combined), co-leading the Global Hedge Funds Group. He remains a Senior Consultant to Morgan Lewis and is based in Boston.

Rich is a keen cyclist and recently took on a ‘Century Ride’ in the Pan Mass Challenge, which raises funds each year for the Dana-Farber Cancer Institute. He also loves to travel, with Croatia lined up as his next destination, before a bucket list trip to South Africa and Botswana. During the summer he enjoys spending time on Cape Cod in Massachusetts, as well as being busy taking care of the many ladies in his life; his wife, his three daughters and three granddaughters. Welcome, Rich!

Anna Named CIMA Chair

Calderwood director Anna Goubault was recently appointed as chairperson of the board of directors of the Cayman Islands Monetary Authority, having been a board member at the regulator since February 2023. Anna officially started this new role in April, and speaking to the media, said her key priorities for the jurisdiction are to strengthen regulatory foundations, embrace transformation through technology, and ensure Cayman is globally aligned with international standards. Congratulations to Anna on this prestigious appointment.

Another Great Calderwood Golf Day

Thanks to everyone who joined us for our annual Calderwood Golf Day, which took place in May. As always, it was such a great day at the North Sound Club. It’s a real highlight of the year for us, and we can’t wait to do it all again next year.

Calderwood Backs Irish Golfing Warrior

It's been an exciting summer for us, sponsoring amateur Irish golfer, David Howard, who made his Majors debut at The Open. David, who is 27 and hails from Ronan’s hometown of Cork, has a remarkable story. Having been diagnosed with cystic fibrosis as a child, he has to take up to 30 tablets every day to compete. We have been proud to support David, as he shows his warrior spirit on the world’s biggest stage.

Private Markets Summit - AI Alpha

Ronan featured recently in a panel discussion on how artificial intelligence is reshaping private markets, at the Future of Private Markets Summit in New York, held by Align and Grant Thornton. It was a great event, including lively discussion about issues like data governance becoming more prominent on board agendas.

New AML and Sanctions Rules from CIMA

Cayman’s new AML and Sanctions Rules come into force on 18 September 2026, bringing key AML/CFT/CPF and sanctions obligations into fully enforceable rules for CIMA-regulated entities, including investment funds. While much of the framework reflects existing requirements, funds should review their compliance programmes ahead of the effective date.

The new rules require independent AML audits to be conducted by suitably qualified and independent persons, with audit reports filed with CIMA as soon as practically possible. An audit cannot be conducted internally for more than two consecutive audit cycles, which means an external provider is required for every third cycle where the first two are internal audits. Funds outsourcing AML functions remain ultimately responsible for compliance and must be able to demonstrate appropriate oversight of service providers.

Funds should also ensure AML risk assessments are current and, importantly, conducted and documented at fund level. A documented, forward-looking training plan for relevant employees, agents and other authorised persons is also required. Please do get in touch if you have any questions regarding the new rules.

Key Deadlines Approaching for Funds

The CRS Compliance Form for the year ended 31 December 2025 must be filed by 15 September 2026, via the DITC Portal. Going forward, from the 2026 reporting year, the CRS Compliance Form deadline will move to 30 June, with the first filing due by 30 June 2027.

Strike off applications for Cayman Islands entities to be dissolved on 31 December 2026 must be submitted to the Registrar of Companies by 1 September 2026. In order for an entity to avoid 2027 fees, the strike off application must be made by 1 November 2026, which will dissolve the entity on 31 March 2027. Entities to be placed into voluntary liquidation must do so by 1 December 2026, in order to avoid 2027 fees.

New Milestone for Cayman Funds

Fund registrations in the Cayman Islands have hit a new milestone, with over 31,000 listed in the jurisdiction, and both private and mutual fund registrations at record highs. The total number of regulated funds increased by 547 during the first six months of 2026 to 31,145, with 18,132 private funds and 13,013 mutual or hedge funds, Cayman Finance said. Private fund registrations have risen by 43% since 2020, amid strong global demand for private equity and private credit. This news followed a recent AIMA survey, which showed that 55% of emerging hedge fund managers have their flagship fund domiciled in the Cayman Islands.

In Our Community Double Joy for Sunset Girls

Congratulations to the Sunset Girls Under 17s football team on another great achievement. In addition to being named as League Champions 2025-26, they also won the Girls FA Cup, beating Academy Sports Club 14-0 in the final. We are so proud to support them and all the Sunset Girls teams.
